One Smile Studio End User License Agreement & Terms of Use

PLEASE READ THIS END USER LICENSE AGREEMENT AND TERMS OF USE (“AGREEMENT”) CAREFULLY BEFORE DOWNLOADING, INSTALLING, OR USING THE ONE SMILE STUDIO APP. BY ACCESSING OR USING THE APP, YOU AGREE TO BE BOUND BY ALL TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT USE THE APP. THIS AGREEMENT IS BETWEEN YOU (“USER”) AND ONE SMILE LLC, THE OWNER AND OPERATOR OF THE ONE SMILE STUDIO APP.1. Definitions
“One Smile LLC” means the limited liability company organized under the laws of the Commonwealth of Virginia, which owns, develops, operates, and licenses the One Smile Studio App. One Smile LLC is the sole legal owner of all rights, title, and interest in and to the One Smile Studio App and all content therein.
“One Smile Studio App” or “the App” means the proprietary dental smile design software application owned and operated by One Smile LLC, including all features, tools, content, Smile Gallery images, lab communication tools, design templates, software code, interfaces, and services accessible through the application.
“Agreement” means this End User License Agreement and Terms of Use, including any amendments or updates issued by One Smile LLC.
“User” or “you” means the individual who downloads, installs, accesses, or uses the App, and who represents that they are a licensed dental professional, authorized dental technician, or an individual operating under the direct, documented supervision of a licensed dental provider.
“Authorized User” means a User who (a) is a licensed dentist, dental specialist, or dental hygienist in good standing with their applicable licensing board; or (b) is a dental technician or practice staff member operating exclusively under the documented supervision of a licensed dentist who holds an active App account.
“Smile Gallery” or “Gallery” means the curated library of before-and-after dental photographs and smile design reference images included within the App, which are licensed to One Smile LLC and made available to Users solely as design reference material.
“AI-Generated Content” means any image, smile design mockup, digital overlay, rendering, simulation, or visual output produced in whole or in part by artificial intelligence, machine learning, or algorithmic image generation tools within or through the App.
“Patient Data” means any photograph, image, personal health information, treatment record, or other data relating to an identifiable individual that a User uploads into the App.
2. Ownership of the One Smile Studio App
ONE SMILE LLC IS THE SOLE AND EXCLUSIVE OWNER OF THE ONE SMILE STUDIO APP AND ALL CONTENT, TECHNOLOGY, AND INTELLECTUAL PROPERTY CONTAINED THEREIN.
This Agreement grants you a limited, personal, non-exclusive, non-transferable, revocable license to use the App solely for lawful professional dental purposes as described herein. No ownership interest in the App or any of its content is transferred to you at any time. One Smile LLC reserves all rights not expressly granted in this Agreement.
3. Acceptance of Terms and User Eligibility
3.1 Acceptance: By clicking “I Agree,” creating an account, downloading, installing, or using the App in any manner, you represent that you have read, understood, and agree to be legally bound by this Agreement in its entirety.
3.2 Age Requirement: You must be at least eighteen (18) years of age to use the App.
3.3 Professional Eligibility: The App is intended exclusively for use by Authorized Users as defined in Section 1.
4. Intended Use and Professional Responsibility
4.1 Professional Design Tool Only: The App is intended exclusively as a clinical design and communication aid. It is not a substitute for professional dental judgment, patient examination, clinical diagnosis, or treatment planning. All clinical decisions and treatment determinations must be made independently by a licensed dental professional.
4.2 Group Practice Use: Each licensed provider who uses the App within a practice must have an active license and accept this Agreement individually.

6. Smile Gallery & AI-Generated Content Restrictions
SMILE GALLERY PHOTOGRAPHS ARE LICENSED REFERENCE IMAGES ONLY. THEY ARE NOT YOUR WORK. YOU MAY NOT CLAIM, IMPLY, OR REPRESENT THEM AS YOUR OWN CLINICAL CASES UNDER ANY CIRCUMSTANCES.
AI-GENERATED IMAGES AND DIGITAL SMILE SIMULATIONS ARE NOT PHOTOGRAPHS OF ACTUAL COMPLETED DENTAL WORK. THEY MAY NEVER BE PRESENTED, PUBLISHED, OR REPRESENTED AS ACTUAL CLINICAL RESULTS OR WORK PERFORMED.
Whenever AI-Generated Content is shown to a patient within the App during a consultation, you must verbally and clearly inform the patient that the image is a digital simulation generated by artificial intelligence.
7. Prohibition on Misrepresentation in Marketing
YOU MAY ONLY MARKET, ADVERTISE, OR PUBLICLY REPRESENT DENTAL CASES THAT YOU PERSONALLY AND DIRECTLY PERFORMED AS THE TREATING CLINICIAN.
8. Intellectual Property & Prohibited Resale
All content, software, design tools, interface elements, templates, algorithms, and Smile Gallery images are the exclusive intellectual property of One Smile LLC. Reselling, sublicensing, or distributing App content is strictly prohibited.
9. Disclaimer of Warranties & Limitation of Liability
The App is provided “AS IS” and “AS AVAILABLE.” One Smile LLC is not a dental provider and does not practice dentistry. One Smile LLC is not responsible or liable for any dental treatment, procedure, or clinical service provided to any patient.
10. Governing Law & Arbitration
This Agreement shall be governed by the laws of the Commonwealth of Virginia. Any dispute or controversy arising under this Agreement shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA).
