One Smile Studio Subscription Agreement

This Subscription Agreement (“Agreement”) is between the subscriber (“Subscriber”) and One Smile LLC, doing business as One Smile Studio (“One Smile Studio,” “we,” “us,” or “our”). One Smile Studio is operated by One Smile LLC. This Agreement sets forth the terms applicable to One Smile Studio subscription plans. The specific plan selected during checkout through Stripe determines the applicable price, billing frequency, commitment, renewal, and cancellation terms described below.

2Annual Plan Terms
If you select an annual plan billed monthly, you are entering into a twelve (12) month contractual commitment. The Primary Doctor Annual / Monthly Plan is $395 per month for 12 months ($4,740 total initial obligation). Each Additional Doctor Annual / Monthly Plan is $295 per month for 12 months ($3,540 total initial obligation per additional doctor). These annual commitments cannot be canceled early, except where required by applicable law.
If you select an annual prepaid plan, the Primary Doctor Annual / Prepaid payment of $3,950 and each Additional Doctor Annual / Prepaid payment of $2,950 are NON-REFUNDABLE, except where otherwise required by applicable law.
3Month-to-Month Terms
The Primary Doctor Month-to-Month Plan is $445 per month. Each Additional Doctor Month-to-Month Plan is $349 per month. Month-to-month subscriptions AUTOMATICALLY RENEW EACH MONTH, and the applicable monthly charge will recur automatically using the payment method on file until canceled or changed. Subscriber may cancel or request a change in subscription level by providing at least thirty (30) days’ notice. Amounts already paid are not prorated or refunded except where required by applicable law.
4Automatic Renewal of Annual Plans
At the end of each 12-month annual term, the subscription will AUTOMATICALLY RENEW for another 12-month term at the then-current applicable subscription rate, and the applicable charges will continue to recur automatically using the payment method on file, unless Subscriber provides One Smile Studio with at least thirty (30) days’ notice before the renewal date to cancel the upcoming renewal or change the subscription level. If timely notice is not received, the subscription will renew automatically and Subscriber authorizes One Smile Studio and its payment processor to charge the payment method on file for the renewed subscription term.
One Smile LLC, doing business as One Smile Studio, will provide an advance renewal notice approximately forty-five (45) days before an annual renewal date, including the upcoming renewal date, applicable renewal price, and instructions for providing the required thirty (30) days’ notice to cancel the upcoming renewal or change the subscription level, subject to applicable law.
5Recurring Payment Authorization
Subscriber authorizes One Smile LLC, doing business as One Smile Studio, and its payment processor to store the payment method provided and automatically charge that payment method for all amounts due under the selected subscription plan, including recurring monthly charges and applicable annual renewal charges. Charges will continue to recur automatically according to the selected plan unless Subscriber provides the required thirty (30) days’ notice to cancel or change the subscription level, subject to the commitment terms of any active annual contract.
Subscriber agrees to maintain a valid payment method on file. A failed or declined payment does not eliminate amounts owed under an existing annual commitment.
6Price Changes
One Smile Studio may change pricing for future subscription or renewal periods. Any applicable price change will be disclosed in advance when required by law. A price change does not alter amounts already owed during an existing 12-month contractual term.
7Agreement to Subscription Terms
By enrolling in a One Smile Studio subscription through Stripe, Subscriber enters into this Agreement with One Smile LLC, doing business as One Smile Studio, and acknowledges and agrees to the terms applicable to the selected plan, including its price, billing frequency, payment obligations, commitment period, cancellation terms, automatic-renewal provisions, and recurring-payment authorization. Subscriber specifically acknowledges that the subscription will automatically renew and applicable charges will recur unless the required thirty (30) days’ notice is provided to cancel or change the subscription level.
8Electronic Acceptance Through Stripe
Subscriber completes enrollment, payment authorization, and electronic acceptance through the Stripe checkout process. The Stripe acceptance mechanism used during checkout serves as Subscriber’s electronic acceptance of this Agreement with One Smile LLC, doing business as One Smile Studio, and of the subscription terms presented in connection with the selected plan. No separate handwritten signature or additional checkbox within this Agreement is required.
One Smile LLC, doing business as One Smile Studio, and/or its payment processor may retain an electronic record of the transaction and acceptance, including the Subscriber’s account identity, selected plan, applicable agreement version, payment authorization, and date and time of enrollment.
